1. Acceptance of Terms
By accessing or using the CloudNode Analytics platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
If you do not agree to these Terms, do not use the Service.
2. Description of Service
CloudNode Analytics Ltd ("CloudNode", "we", "us") provides a cloud infrastructure monitoring and log analytics platform accessible via the website at cloudnodeanalytics.co.uk and associated APIs and agent software. The Service enables customers to ingest, store, query, and visualise metrics and log data from their infrastructure.
3. Account Registration
You must register for an account to use the Service. You agree to provide accurate, current, and complete information during registration and to keep this information up to date. You are responsible for maintaining the security of your account credentials. You must notify us immediately if you suspect any unauthorised access to your account.
Accounts must not be shared between multiple individuals without an Enterprise plan that includes team seat management.
4. Subscription Plans and Billing
Payment
Subscriptions are billed in advance on a monthly or annual basis. Payment is processed via Stripe using the payment method on file. By providing a payment method, you authorise CloudNode to charge the applicable subscription fee.
Auto-renewal
Subscriptions renew automatically at the end of each billing period unless you cancel at least 30 days before the renewal date. Annual subscriptions that are cancelled after the billing date will not be refunded for the remaining period, except as required by law.
Price changes
We will give you at least 30 days' notice of any price increase. Continued use of the Service after the notice period constitutes acceptance of the new pricing.
Free trial
A 14-day free trial is available on Starter and Professional plans. No charge is made until the trial ends. Trials may not be combined or extended.
Enterprise billing
Enterprise customers may arrange invoiced billing with 30-day payment terms. Annual pre-payment discounts are available. Contact us at sales@cloudnodeanalytics.co.uk.
5. Acceptable Use Policy
You may not use the Service to:
- Monitor systems you do not own or have explicit permission to monitor;
- Upload data that infringes third-party intellectual property rights;
- Attempt to circumvent the Service's authentication or rate-limiting mechanisms;
- Use the Service in a manner that materially disrupts its availability to other customers;
- Resell or sublicense the Service without our prior written consent.
We reserve the right to suspend or terminate accounts that violate this policy without prior notice.
6. Data Ownership
You retain full ownership of all data you upload to the CloudNode platform ("Customer Data"). We process Customer Data only as necessary to provide the Service and in accordance with your instructions. We will not access Customer Data except to provide the Service, comply with a legal obligation, or as you expressly request for support purposes.
We process Customer Data as your data processor. A Data Processing Agreement is available upon request and is incorporated by reference into these Terms for Enterprise customers.
7. Service Level Agreement
Uptime commitment
Starter and Professional plans carry a target uptime of 99.9% per calendar month, measured over the CloudNode API and dashboard. Enterprise plans carry a guaranteed uptime of 99.98%.
Service credits
If monthly uptime falls below the applicable commitment, you are entitled to a service credit calculated as a percentage of your monthly fee:
- 99.0% – 99.9%: 10% credit
- 95.0% – 99.0%: 25% credit
- Below 95.0%: 50% credit
Credits must be requested within 30 days of the incident and will be applied to your next invoice. Credits are your sole remedy for Service unavailability.
8. Intellectual Property
The Service, including all software, designs, and documentation, is owned by CloudNode Analytics Ltd and protected by UK and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service solely for your internal business purposes during the term of your subscription.
CloudNode may use anonymised, aggregated data derived from Customer Data (with no personally identifiable information) to improve the Service.
9. Limitation of Liability
To the maximum extent permitted by law, CloudNode's aggregate liability to you for any claims arising under or in connection with these Terms will not exceed the total fees paid by you in the 12 months preceding the claim.
CloudNode is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption, even if advised of the possibility of such damages.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other matter that cannot be limited by law.
10. Termination
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period.
We may terminate or suspend your account immediately if you materially breach these Terms, become insolvent, or we are required to do so by law. Upon termination, your access to the Service will cease and we will retain Customer Data for 30 days to allow export, after which it will be deleted.
11. Governing Law
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any disputes arising under these Terms.
12. Dispute Resolution
Before initiating any legal action, you agree to contact us at legal@cloudnodeanalytics.co.uk and attempt to resolve the dispute in good faith. If the dispute is not resolved within 30 days, either party may pursue legal remedies.
13. Changes to These Terms
We may update these Terms from time to time. We will notify you by email at least 30 days before material changes take effect. Continued use of the Service after the effective date of the revised Terms constitutes acceptance. If you do not agree to the revised Terms, you must cancel your subscription before the effective date.
